Terms of Service

These Terms of Service ("Terms") govern your access to and use of pricingarch.com and the PricingArch WordPress plugin ("Software"), operated by VerilySoft, Inc. ("VerilySoft", "we", "our", or "us"), a company incorporated in the United States. By purchasing or using our Software, you agree to be bound by these Terms.

You may use PricingArch only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Software on more websites than your license tier allows
• Reverse engineer, decompile, or create derivative works of the Software for redistribution
• Resell, sublicense, or transfer your license to third parties without our written consent
• Use the Software in any way that violates applicable law or third-party rights
• Attempt to circumvent our license validation mechanisms

Subject to your payment of the applicable license fee and your ongoing compliance with these Terms, VerilySoft grants you a limited, non-exclusive, non-transferable license to install and use the Software on the number of websites permitted by your license tier (1 site for Solo, 5 sites for Studio, unlimited for Agency). This license is perpetual — it does not expire as long as you comply with these Terms. Updates and new features are included at no additional cost for the lifetime of the product.

All prices are stated in US dollars. Payment is due at the time of purchase. We accept major credit and debit cards via Stripe and selected cryptocurrency payment methods. Prices are subject to applicable taxes based on your jurisdiction, calculated at checkout. You are responsible for providing accurate billing information. In the event of a failed or disputed charge, access to the Software may be suspended until the matter is resolved.

We offer a 14-day money-back guarantee on all license purchases. If you are not satisfied with PricingArch within 14 days of your original purchase date, contact us at pricingarch.com/support with your order number and we will issue a full refund to your original payment method. Refunds are not available after the 14-day window has expired, except where required by applicable law. See our Refund Policy for full details.

All license plans include 1 year of priority support ticket access from the date of purchase. After the first year, you may renew support access for $19/year. The Software continues to function and receive updates regardless of whether you renew support access. Support is provided via the ticket system at pricingarch.com/support. We aim to respond within one business day but do not guarantee specific response times.

The Software, documentation, and all associated intellectual property rights are and remain the exclusive property of VerilySoft, Inc. Nothing in these Terms transfers ownership of any intellectual property to you. The GPL-licensed portions of the plugin code (specifically, code that directly integrates with WordPress or WooCommerce hooks as required by those platforms' licenses) are licensed under the GPL v2 or later. Proprietary application logic, the React admin interface, and the Engine namespace are not subject to GPL licensing.

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VERILYSOFT DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SOFTWARE IS COMPATIBLE WITH ANY PARTICULAR THIRD-PARTY PLUGIN OR HOSTING ENVIRONMENT. USE OF THE SOFTWARE IS AT YOUR SOLE RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERILYSOFTSHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL VERILYSOFTʼS TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE LICENSE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless VerilySoft, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Software in violation of these Terms, your violation of any applicable law, or your infringement of any third-party rights.

We may terminate or suspend your license immediately, without prior notice, if you materially breach these Terms. Upon termination, your right to use the Software ceases immediately. You must uninstall the Software from all websites on which it is installed. Termination does not entitle you to a refund, except where required by applicable law or within the 14-day refund window.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

We may update these Terms from time to time. We will notify you of material changes by updating the effective date at the top of this page. If the changes are significant, we may also send an email to the address on file for your account. Continued use of the Software after the effective date of the updated Terms constitutes your acceptance of the changes.

These Terms, together with our Privacy Policy, Refund Policy, and Cookie Policy, constitute the entire agreement between you and VerilySoft with respect to the Software and supersede all prior agreements, representations, and understandings.
